GENERAL CONDITIONS OF SALE OF NSK EUROPE GMBH

Applicability of the General Conditions of Sale

  1. These terms and conditions of sale and delivery (“GTC”) apply to all business relationships between NSK Europe GmbH (“NSK”) and its customers; they apply exclusively to companies (§ 14 BGB) and legal entities. They are part of all offers and contracts for deliveries and services by NSK. The GTC in the version valid at the time of the order and published on the NSK website at www.nsk-europe.de also apply to future business relationships, without NSK having to refer to them again in each individual case.
  2. All agreements and orders must be in text form to be binding (§ 126 b BGB). Individual agreements (sub-agreements, changes or additions) with the buyer take precedence over the General Terms and Conditions; for the content of such agreements, subject to proof to the contrary, written confirmation from NSK is decisive.
  3. The terms and conditions apply exclusively. Deviating, conflicting or supplementary general terms and conditions of the buyer only become part of the contract if and to the extent that NSK expressly agrees to their validity. This requirement for approval also applies if NSK carries out the delivery to the buyer without reservation and is aware of the general terms and conditions of the buyer.

conclusion of contract

  1. NSK’s offers are non-binding and only binding with written confirmation. This also applies if NSK provides the buyer with catalogues, technical documentation, other product descriptions or documents.
  2. The order by the buyer is considered a binding contract offer. NSK is entitled to accept this contractual offer within two (2) weeks of receipt.
  3. NSK can declare acceptance of an order either in writing (e.g. by means of an order confirmation or pro forma invoice) or by delivering the goods to the buyer.
  4. Orders accepted by NSK may only be canceled with NSK’s written consent and only on condition that the customer indemnifies NSK for all damages (including lost profits), costs and expenses incurred by NSK as a result of the cancellation.

Delivery time, delivery conditions

  1. Binding delivery times are to be agreed individually or are specified by NSK in the order confirmation. If this is not the case, the delivery period is approximately two (2) weeks from the conclusion of the contract.
  2. If binding delivery deadlines cannot be met for reasons for which NSK is not responsible (non-availability of the service), NSK will inform the buyer of this immediately and at the same time communicate the expected new delivery deadline. If the goods are also not available within the new delivery period, NSK is entitled to withdraw from the contract in whole or in part; NSK will immediately reimburse any consideration that has been rendered. A case of unavailability of the service is considered to be force majeure or other disruptive events at NSK, NSK’s suppliers or transport companies if neither NSK nor the suppliers or transport companies are at fault.
  3. The occurrence of the delay in delivery is based on the statutory provisions. In any case, however, a reminder by the buyer is required.
  4. Partial deliveries are permitted.
  5. Unless otherwise individually agreed, delivery is made from the warehouse „EXW“ in accordance with Incoterm 2020. At the request and expense of the buyer, the goods will be sent to another destination (sales by mail). Unless otherwise agreed, NSK is entitled to determine the type of shipment (in particular transport company, shipping route, packaging, etc.) itself.
  6. The risk of accidental loss or accidental deterioration passes to the buyer at the latest when the goods are handed over. In the case of mail-order sales, the risk of accidental loss and accidental deterioration as well as the risk of delay are already transferred when the goods are handed over to the forwarding agent or carrier.
  7. If the buyer or the recipient of the goods is in default of acceptance, NSK is entitled to demand compensation for the resulting damage, including additional expenses (e.g. storage costs).
  8. In the export business, the buyer must meet the applicable requirements of national and international export, customs and foreign trade law („Foreign Trade Law“). He must obtain the necessary import and export permits, unless NSK is obliged to apply for these permits under the applicable foreign trade law. Buyer shall provide NSK in writing with any information NSK requires. The buyer bears all costs incurred by NSK due to the absence or inaccuracy of foreign trade data.

Prices, terms of payment

  1. Unless otherwise individually agreed, NSK’s prices in euros that are valid at the time the contract is concluded shall apply. The prices are exclusive of statutory sales tax and any customs duties, taxes, fees or other charges.
  2. The prices include product packaging but exclude freight packaging (e.g. cardboard boxes). The buyer bears the transport costs ex warehouse and the costs of any transport insurance requested by the buyer.
  3. Unless otherwise individually agreed, the purchase price is due immediately and without deduction by bank transfer, direct debit or cash after invoicing and delivery or acceptance of the goods. NSK reserves the right, even within the framework of an ongoing business relationship, to carry out deliveries in whole or in part only against advance payment. NSK declares a corresponding reservation at the latest when accepting the contract.
  4. With the expiry of the above payment period, the buyer is in default. Interest is to be paid on the purchase price during the delay at the applicable statutory default interest rate. NSK reserves the right to assert further default damages (e.g. higher interest charges). In the event of late payment, NSK is entitled to require the buyer to provide security for all orders before they are dispatched.
  5. The buyer is only entitled to set-off or retention rights if his claim has been legally established or is undisputed. The restriction of the right to offset and retention does not apply to the buyer’s counterclaims in the event of defects in the delivery (in particular pursuant to Section G.).
  6. If, after conclusion of the contract, it becomes apparent (e.g. through an application for the opening of insolvency proceedings) that payment of the purchase price is at risk, NSK is entitled to refuse performance and – if necessary after setting a deadline – to withdraw from the contract.

retention of title

  1. The delivered goods remain the property of NSK until all claims arising from the business relationship (“secured claims”) have been paid in full.
  2. The goods subject to retention of title (“reserved goods”) may not be pledged to third parties or assigned as security before the secured claims have been paid in full. The buyer must inform NSK immediately in writing if an application is made to open insolvency proceedings or if third parties seize the goods.
  3. If the purchase price due is not paid, NSK is entitled to withdraw from the contract, if necessary after setting a deadline, and to demand the return of the reserved goods on the basis of the withdrawal and the retention of title.
  4. The buyer is authorized to resell and/or install the reserved goods in the ordinary course of business. In this case, the following provisions also apply:
    a) If the reserved goods are combined or installed with third-party goods, NSK is entitled to a co-ownership share in the new item in the ratio of the value of the reserved goods to the remaining goods.
    b) The buyer hereby assigns the claims against third parties arising from the resale of the goods subject to retention of title or the new item in total or in the amount of the co-ownership share to NSK as security. NSK accepts the assignment. The buyer is entitled to collect as long as he meets his payment obligations towards NSK.
    c) Soweit der realisierbare Wert der Sicherheiten die Forderungen von NSK um mehr als 10% übersteigt, wird NSK auf Verlangen des Käufers Sicherheiten nach Wahl von NSK freigeben

Urheberrecht

  1. NSK behält sämtliche Rechte, einschließlich der Urheberrechte sowie der Rechte zur Anmeldung von Eigentum, an seinen Katalogen, technischen Dokumentationen, Bildmaterial und an anderen Produktbeschreibungen.
  2. Sofern NSK Software zur beabsichtigten Verwendung der Ware zur Verfügung stellt, wird dem Käufer oder dem Endkunden der Ware ein Nutzungsrecht eingeräumt, das jedoch ohne Zustimmung von NSK nicht übertragen werden kann. Sämtliche anderen Rechte verbleiben bei NSK. Der Käufer gewährleistet, dass ohne vorherige schriftliche Zustimmung von NSK Software Dritten nicht zugänglich gemacht wird.

Gewährleistung, Haftung

  1. Für die Rechte des Käufers bei Sach- und Rechtsmängeln (einschließlich Falsch- und Minderlieferung sowie unsachgemäßer Montage) gelten die gesetzlichen Vorschriften, soweit nachfolgend nichts anderes bestimmt ist. Hiervon unberührt bleiben die gesetzlichen Sonder-vorschriften bei Endlieferung der Ware an einen Verbraucher (Lieferantenregress §§ 478, 479 BGB). Ansprüche aus Lieferantenregress sind ausgeschlossen, wenn die mangelhafte Ware durch den Käufer oder einen anderen Unternehmer, z. B. durch Einbau in ein anderes Produkt, weiterverarbeitet wurde.
  2. Grundlage unserer Mängelhaftung ist die über die Beschaffenheit der Ware getroffene Vereinbarung. Als Beschaffenheitsvereinbarung gelten alle Produktbeschreibungen und Hersteller-angaben, die Gegenstand des einzelnen Vertrags sind oder von NSK in Katalogen oder auf der Homepage zum Zeitpunkt des Vertragsschlusses öffentlich bekannt gemacht waren.
  3. Die Mängelansprüche des Käufers setzen voraus, dass er seinen gesetzlichen Untersuchungs- und Rügepflichten (§ 377 HGB) nachgekommen ist. Der Käufer wird die Ware bei Anlieferung auf offensichtliche Mängel (einschließlich Falsch- und Minderlieferung) untersuchen und NSK unverzüglich alle erkennbaren Mängel schriftlich anzeigen. Nicht erkennbare Mängel wird der Käufer NSK unverzüglich nach Entdeckung schriftlich anzeigen.
  4. Ist die gelieferte Ware mangelhaft, wird NSK zunächst wählen, ob NSK Nacherfüllung durch Beseitigung des Mangels (Nachbesserung) oder Lieferung einer mangelfreien Sache (Ersatzlieferung) leistet. Die zum Zwecke der Prüfung und Nacherfüllung erforderlichen Aufwendungen, insbesondere Transport-, Wege-, Arbeits- und Materialkosten sowie ggf. Ausbau- und Einbaukosten trägt NSK nach Maßgabe der gesetzlichen Regelung, sofern nicht anders vereinbart, wenn tatsächlich ein Mangel vorliegt. Schlägt die Nacherfüllung fehl, kann der Käufer vom Vertrag zurücktreten oder den Kaufpreis mindern. Der Rücktritt ist ausgeschlossen, wenn der Mangel nicht wesentlich ist. Weitergehende Ansprüche des Käufers auf Schadensersatz sind ausgeschlossen.
  5. Darüber hinaus sind die Gewährleistungsansprüche des Käufers in den folgenden Fällen ausgeschlossen:
    a) wenn die Ware nicht gemäß den Anweisungen von NSK installiert oder in Betrieb genommen wurde;
    b) wenn der Mangel durch normalen Verschleiß, vorsätzliche Beschädigung, Fahrlässigkeit, ungewöhnliche Arbeitsbedingungen, Nichtbefolgen der (schriftlichen oder mündlichen) Anweisungen von NSK, unsachgemäße Verwendung, Änderungen an oder Reparatur der Ware durch nicht von NSK autorisierte Personen oder ohne NSK’s Zustimmung verursacht wurde;
    c) wenn der Mangel darauf beruht, dass keine Einweisung für aufgrund gesetzlicher Bestimmungen oder aufgrund NSK’s Anweisungen einweisungspflichtige Ware erfolgt ist;
    d) for light guides, lamps / LEDs, O-rings, seals, rubber and other wearing parts as well as for the color stability of plastic parts.
  6. NSK’s liability for damage – for whatever legal reason – is limited to damage caused intentionally or through gross negligence by NSK, NSK’s vicarious agents or legal representatives, or through simple negligence in the violation of essential contractual obligations. In cases of simple negligence, NSK’s liability is limited to the foreseeable damage that is typical for the contract. This does not apply to claims for damages by the buyer under the Product Liability Act and from injury to life, limb or health.
  7. Warranty claims expire within one (1) year from delivery of the goods.

guarantee

  1. NSK guarantees the end customer that the material and processing are free of defects and that the goods are functioning properly.
  2. Unless otherwise agreed, the guarantee for repairs is limited to six (6) months and for the delivery of goods is limited to twelve (12) months.

Taking back the goods by NSK

  1. NSK can agree to take back the goods from the buyer without being obliged to do so. The buyer cannot derive any claims or other legal consequences from the return of the goods. In this case, the buyer may return the goods to NSK after prior written consent. NSK is entitled to charge a processing fee of 10% of the net value of the goods, but at least EUR 25, for the return.
  2. NSK only takes back goods that are in their original packaging, unopened, unused and undamaged.

Force majeure

In cases of „force majeure“, NSK is released from its obligation to perform for the duration of the disruption and to the extent of its effect. The following events are considered “force majeure”: natural phenomena, war or unrest, official measures, lawful labor disputes, difficulties in procuring work and other materials and other unforeseeable, unavoidable and serious events.

Governing Law, Jurisdiction

  1. The law of the Federal Republic of Germany applies exclusively, excluding the conflict of law rules and the UN Sales Convention (CISG).
  2. The place of jurisdiction for all claims arising directly or indirectly from the business relationship between the parties is NSK’s registered office. However, NSK is also entitled to bring an action at the buyer’s general place of jurisdiction.
  3. Should any of the above terms of sale and other contractual agreements between the parties be or become wholly or partially invalid, this shall not affect the remaining provisions. Either the statutory provision or such a regulation that the parties would have made in good faith shall replace the ineffective regulation. The same applies to a loophole.
